COACHING PROGRAM TERMS & CONDITIONS

This Coaching Agreement is between Pilot Fish Personal & Professional Development, LLC /Ann Babiarz and Associates LLC (hereafter "coach") and you (hereafter "you" or "client").

The service offered you is coaching and personal development courses.

  Coaching is a partnership (defined as an alliance, not a legal business partnership) between the coach and the client in a thought-provoking and creative process that inspires the client to maximize personal, business and professional potential.  Coaching is not advice, therapy, or counseling and may address specific personal projects, business successes, or general conditions in a client's life or profession.

Coaching is a designed alliance that helps bring out the best in you, helping you create and live the life you want to live.

Coaching is not to be used as a substitute for professional advice by legal, mental health, medical or other qualified professionals and, if needed, you agree to seek independent professional guidance for such matters.  You, as the client,  are responsible for creating and implementing your own financial, business, physical, mental, and emotional well-being, decisions, choices, actions and results. As such, you agree that the coach is not and will not be liable for any actions or inaction, or for any direct or indirect result of any services provided. 

If you are currently under the care of a mental health professional, the coach recommends that you inform the mental health care provider of the coaching relationship. 

The coach will:

• Be a partner in bringing out the best, the deepest, and the truest in you.
• Provide safety, encouragement and support; an environment in which you can relax and explore.
• Respect the confidentiality of the agreements we make.
  Expand your view of what is possible and promote discovery of new insights.
• Provide  input, straight feedback and operate as a sounding board.
• Listen carefully to what you say and ask questions that increase awareness.
• Be an on-going resource for you in accomplishing your intentions.
• Abide by the ethical standards set forth by the international Coach Federation (ICF)  www.coachfederation.org/ethics.  
• Provide a short summary of each session with links to post session forms for your optional completion, and, with your consent, links to private recordings of sessions for your further review. 
• Note:  If more detailed feedback is requested outside of sessions (such as extensive, detailed notes, review of documents, procedures, etc. or listening to coaching calls and providing feedback), the time involved will be applied against your session time or charged to you directly.  
  The client will:
• Cultivate core honesty with yourself.
• Commit yourself to intentions that are truly meaningful and significant to you.
• Be open to the coach's feedback, and keep the coach honestly informed as to what is and is not working for you.
• Take ownership for your progress and your accomplishments.
• Take financial responsibility for your coaching time.   
• PLEASE NOTE:  As part of this package, you are entitled to one 1 on 1 coaching session each month during the 1st 3 weeks of the month.  Sessions MUST be utilized during the month in which they are allotted and will not be eligible for carryover into future months so it is of the utmost important to book your session early in the month each month.  
  On occasion, you may have a question, request for feedback, or desire a response to a situation for which you don’t want to wait for your next session. You can use your your private client log (preferred) or send an email to the coach for a timely response.

Private Client Access:

Everything you will be using in this coaching experience (tools, forms, schedules, documents, resources, and call recordings) is housed conveniently on a secure and confidential “Private Client Website." Upon enrolling for the coaching, you were given a unique username and password.  At your convenience you may access this “Private Client Website” area to access, review and/or update the tools, documents, resources that you will be using through your coaching.  
 
The Private Client Website provides you with specific tools to support you in your coaching sessions so you can leverage every minute you spend together with the coach.  It also provides you with many exercises to support your progress.

By purchasing this program, you acknowledge that you have reviewed the terms and conditions and privacy policy for the website, accessed through the tab so marked on the website.

Scheduled sessions:

All sessions are scheduled at mutually agreeable times between client and coach.  The coach will initiate each session, contacting you by phone, Skype, Zoom or other mutually agreeable method. 

Schedule Changes:

Sessions are generally 45 minutes but from time to time may extend to one hour.  If a session extends past one hour in length, it will be applied against your remaining session time.  

If you find that you need to reschedule, your coach requires a 48 hour notice. Note that cancellation within 48 hours with no re-schedule as well as “no-shows” (if you do not contact the coach at the appointed time for the scheduled session AND you have not contacted the coach on a timely basis to reschedule) count as completed calls and you will be charged for them without exception.  Two consecutive “no-shows” will give the coach the right to terminate the coaching agreement.

Under this contract, you must complete your one session per month, during that month unless special arrangements have been made.  If you do not use your sessions, you will lose them.  There are no refunds for unused sessions. 

Confidentiality: 

This coaching relationship, as well as all information (written, oral or audio recordings) that the client shares with the coach as part of this relationship, is bound to confidentiality by the ICF Code of Ethics (www.coachfederation.org/ethics) but is not considered a legal confidential relationship (like in Medicine or Law).    

The coach agrees as follows:

• All information provided by the client to the coach during the course of the coaching relationship will be deemed “Confidential Information” and kept strictly confidential unless otherwise agreed. 
• The coach will not disclose any communications of any kind that have taken place either between the coach and the client or with regard to this Agreement without the prior consent of the client.

This confidentiality restriction also applies to testimonials, which the coach may use for promotional reasons only with the consent of the client.  The client may request anonymity in connection with any testimonials to be used.

Notwithstanding the foregoing, “Confidential Information” does not include information that is:

• previously known to the coach prior to discussions regarding this Agreement, free from any obligation to keep it confidential, or
  publicly disclosed by the client either prior to or subsequent to the receipt by the coach of such information, or
  independently developed by the coach without any access to Confidential Information, or
  lawfully obtained by the coach from a third party lawfully in possession of Confidential Information who is not bound by confidentiality obligations to the client.
  The coach may disclose Confidential Information if required to do so under applicable law, rule or court or administrative agency order; provided that the coach, where reasonably practicable and to the extent legally permissible, provides the client with prior notice of the required disclosure.  The coach will return, or at the client’s request, destroy, all copies of the Confidential Information in the coach’s possession or control upon termination of this Agreement.

Limited Liability:

THE CONTENT, MATERIALS AND SERVICES AVAILABLE THROUGH PILOT FISH PERSONAL & PROFESSIONAL DEVELOPMENT, LLC/ANN BABIARZ & ASSOCIATES, LLC, ITS AGENTS, OFFICERS, EMPLOYEES, CONTRACTORS, SUCCESSORS AND ASSIGNS ("COACH"), AND ITS WEBSITE ARE PROVIDED "AS IS."  COACH SPECIFICALLY DISCLAIMS WARRANTIES OF ANY KIND, INCLUDING EXPRESS OR IMPLIED, AND NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  COACH AND ITS WEBSITE DO NOT WARRANT THAT ANY CONTENT IS ACCURATE, RELIABLE, OR CORRECT, THAT ANY ERRORS WILL BE CORRECTED, OR THAT THE CONTENT IS FREE OF OTHER HARMFUL COMPONENTS SUCH AS VIRUSES.  USE OF THE WEBSITE IS SOLELY AT YOUR OWN RISK. 

COACH DOES NOT DISPENSE FINANCIAL, MEDICAL, LEGAL OR OTHER ADVICE, PRESCRIBE OR ENCOURAGE ANY PROCEDURES DIRECTLY OR INDIRECTLY AS A FORM OF TREATMENT FOR ANY PHYSICAL, EMOTIONAL OR MEDICAL CONCERNS, ILLNESS OR DISEASE, OR MAKE ANY RECOMMENDATIONS FOR LEGAL ACTION OR FINANCIAL INVESTMENT OF ANY KIND. YOU SHOULD CONSULT YOUR PERSONAL ATTORNEY, FINANCIAL ADVISOR, MEDICAL PROFESSIONAL OR OTHER COMPETENT PROFESSIONAL ADVISOR IF YOU HAVE SUCH CONCERNS.

IN NO EVENT WILL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE OR USE, INCURRED BY USER OR ANY THIRD PARTY, EVEN IF COACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  COACH'S LIABILITY IN CONNECTION WITH THIS AGREEMENT WILL IN NO EVENT EXCEED ANY AND ALL AMOUNTS PAID BY CLIENT TO COACH DURING THE 13 MONTH PERIOD PRIOR TO A CLAIM BY CLIENT.

The call recordings and the information contained therein is confidential under the ICF Code of Ethics (www.coachfederation.org/ethics) but is not considered a legal confidential relationship (like in Medicine or Law).   

Early Termination

At any time, with or without cause, coach may terminate the coaching relationship and this agreement upon twenty-four (24) hour notice to client.
